What was the reason for N Chandrasekaran’s resignation?

N Chandrasekaran’s departure marked the end of his nearly decade-long tenure at the helm of one of India’s most influential business groups. According to a PTI report, Chandrasekaran’s resignation followed a prolonged standoff with Tata Trusts Chairman Noel Tata regarding his reappointment.

This resignation comes after months of uncertainty surrounding his future at Tata Sons (the holding company and principal promoter of the Tata Group). Collectively, the charitable trusts hold a 66% stake in Tata Sons, giving Tata Trusts significant influence over the group’s operations.

Chandrasekaran, popularly known as ‘Chandra’, stated that the Sir Dorabji Tata Trust and the Sir Ratan Tata Trust, which together hold a 51.54% stake in Tata Sons, had unanimously supported extending his tenure by another five years.

According to Chandra, this proposal was subsequently approved by Tata Sons’ Nomination and Remuneration Committee and then recommended by the company’s board. The recommendation was tabled at a board meeting on February 24 of this year but failed to secure approval due to a lack of support from one director. Without naming the dissenting director, Chandrasekaran said he decided not to pursue the proposal further because it lacked unanimous support.

Without naming the dissenting director, Chandrasekaran stated that he decided not to proceed with the proposal because there was no consensus on it. After six months passed without a resolution, he remarked that the uncertainty regarding leadership could not continue, especially at a time when Tata Sons is overseeing several key projects that are at critical stages.

According to a PTI report, this long-standing impasse stems from differences between Chandrasekaran and Noel Tata. Noel Tata assumed the role of Chairman of Tata Trusts in 2024 following the demise of Ratan Tata.
Reports indicate that Noel Tata sought an assurance that Tata Sons would not move towards a public listing, a stance Chandrasekaran did not support. The two also held differing views on issues related to board representation.
